Introduction

allymatic LLC (“allymatic”, “us”, “we”, or “our”) is a scientific and technological company specializing in marketing and product promotion. We are committed to helping product suppliers and brand owners (“Advertisers”) access intelligent marketing tools through a unified SaaS platform which currently offers the following services (collectively, the “allymatic Services”):

Influencer Marketing Platform – for matching Advertisers with suitable influencers (“Influencers”) for social media-based campaigns.

Affiliate Marketing Platform – for discovering and managing content creators who promote products via trackable sales links.

Cold Email Outreach Tool – for executing targeted outbound outreach campaigns.

AI Agent (optional add-on service) – a standalone intelligent assistant that helps users with content generation, idea development, and competitor or market insights.

These Terms of Service ("Terms") govern your access to and use of: (i) the allymatic website https://www.allymatic.com/ (the “Website”), (ii) the allymatic online platform, and (iii) all other services and content provided by allymatic, as described on the Website (collectively, the “Platform”).

All access and use of the allymatic Services and Platform are governed by the latest version of this Agreement, which may be updated by allymatic from time to time without prior notice. Please read this Agreement carefully. By accessing, creating an account, browsing, or otherwise using the allymatic Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the allymatic Services.

Modifications and Superseding Terms

This Agreement supersedes all previous versions, except for written agreements specifically addressing the same subject matter. The latest version governs all access and use, including past content created using allymatic Services. Updates will be posted on the Website and take effect immediately upon publication.

Eligibility

You represent and warrant that: (i) you have reached the age of majority in your jurisdiction; (ii) if you use the Platform on behalf of a company or entity, you have authority to bind that entity; (iii) you will comply with these Terms; and (iv) the information you provide is true, accurate, current, and complete.

Advertiser Terms

(1) Campaign: Refers to the activities related to content creation and publication by Influencers (or Affiliate Partners) sourced via allymatic’s platforms based on Advertiser requirements.

(2) Advertiser Content: Advertiser shall provide accurate and complete promotional materials (e.g., logos, brand assets, product information). You grant allymatic and the assigned Influencers a global, irrevocable, non-exclusive, royalty-free license to use this content across applicable channels and services, as necessary for the campaign. You represent and warrant that you have full rights to authorize such use.

(3) Promotion Services: You may access and purchase any of the four service modules described above through the allymatic platform. Each service’s pricing, rules, and billing model shall be clearly displayed on the platform interface. By initiating a service or campaign, you agree to the Promotion Service Framework Agreement included in the appendix.

(4) Payment of Fees: allymatic supports multiple payment modes: (i) prepaid wallet recharge, (ii) direct card binding, or (iii) hybrid payment.

Influencer Marketing is billed monthly based on the campaign budget.

Affiliate Marketing is charged per matched partner and includes post-sale commission fees, all as displayed on the platform.

Cold Email services are billed based on the number of verified positive responses, such as “interested”, “willing to collaborate”, or “confirmed cooperation.”

AI Agent is available via subscription or pay-per-use, independent of other services.

All pricing, commissions, and service definitions are subject to the live details shown on the platform. You authorize allymatic and its payment processors to charge applicable fees and agree to the processor’s terms. allymatic reserves the right to suspend services if payment fails or is not updated. Additional platform terms regarding taxes, refunds, bonus credits, and withdrawals are set forth in the appended Promotion Service Framework Agreement.

License Grants

Subject to these Terms of Service, allymatic grants you a personal, revocable, non-exclusive and non-transferable license to access and use the Platform and the Platform Services.

Subject to these Terms of Service, you grant to allymatic a perpetual, transferrable, irrevocable, royalty-free, fully paid-up, worldwide, and fully sublicensable license to access, collect, store and use any data, information, records and files (collectively, “User Content”) that (1) you load, transmit to, or enter into the Platform, or (2) we collect from your local computer system or from third-parties with your permission, and (in each case) including all results from processing such data, including compilations, and derivative works thereof solely for the purpose of: (A) providing the Platform Services, (B) complying with applicable law, and (C)allymatic’s reasonable audit and data retention policies.

Ownership

All content provided or displayed by allymatic through the Platform, including (without limitation) all designs, infrastructure, graphics, pictures, illustrations, software, artwork, video, music, sound, names, words, titles, phrases, logos and marks (the “Platform Content”), are owned or licensed by allymatic and are protected by copyright, trade-mark and other intellectual property laws.

Registration and Account

To access and use the Services, you will be required to register for an account (“Account”). By creating an Account, you agree to: (a) provide accurate, current and complete Account information; (b) maintain the security of your password; and (c) promptly notify support@allymatic.com of any suspected breach. allymatic may disable or suspend your account at its sole discretion.

Term and Termination

allymatic may terminate your User Account and your access to and use of the Platform and the Platform Services, at allymatic’s sole discretion, at any time and without notice. If your use of the Platform is terminated due to a violation of these Terms, you forfeit any funds in your allymatic account. Termination does not affect accrued rights or obligations.

Prohibited Use

You shall not use the Platform in ways that: (a) circumvent access controls or security mechanisms; (b) overload the platform or interfere with normal operations; (c) infringe on intellectual property or legal rights; (d) submit fraudulent or harmful content; (e) scrape or harvest data without consent.

allymatic reserves the right to take legal action or suspend access for prohibited activity.

Third Party Websites

allymatic may contain links to third-party sites. allymatic is not responsible for the availability, content, or practices of such external resources.

No Confidentiality of Communications

While allymatic endeavors to protect your information, we do not guarantee the confidentiality of any user communications submitted through the Platform.

Disclaimer of Warranties

The Platform is provided “as is” and “as available.” allymatic disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee error-free service or uninterrupted access.

Limitation of Liability

To the maximum extent permitted by law, allymatic shall not be liable for any indirect, incidental, special or consequential damages arising from use or inability to use the Platform or its Services. Total liability shall not exceed $1 USD or equivalent.

Indemnification

You agree to indemnify and hold harmless allymatic and its employees, agents and affiliates from claims or liabilities arising from your use of the Platform, violation of these Terms, or infringement of third-party rights.
